Terms of Service

1. Who we are

Moozz is operated by Muzico Innovations GmbH, a Swiss limited liability company (CHE-475.033.787) with its registered seat at Dübendorf, Switzerland ("Moozz", "we", "us"). Moozz provides an AI-powered music translation platform that enables artists ("you") to translate their original recordings into other languages and, optionally, distribute those translations to streaming platforms.

2. Acceptance of these terms

By creating an account, completing enrollment, uploading audio, or using any other feature of the Moozz platform, you agree to be bound by these Terms of Service together with the Privacy Policy, Rights Trail Terms, and (if you distribute via Moozz) the Distribution Terms. If you do not agree, do not use the platform.

3. Eligibility

• You must be at least 18 years old, or the age of majority in your jurisdiction.
• You must have legal authority to enter into this agreement.
• If you are using Moozz on behalf of an organisation, you warrant that you are authorised to bind that organisation to these Terms.

4. Your account

Enrollment is performed via SMS verification (Twilio) and requires you to choose a subscription plan and provide payment details through Stripe. You are responsible for keeping your account credentials confidential and for all activity under your account. You must notify us immediately at legal@moozz.com of any unauthorised use.

5. Plans, credits, and payments

Moozz offers a free tier (1 credit), an Independent Artist plan (€19/month, 5 credits), an Organization plan (€149/month, 50 credits), and a custom Enterprise plan. One credit funds one full translation. Credits reset monthly on your Stripe renewal date and do not roll over. Pay-per-song top-ups (€5/€20/€35 for 1/5/10 extra credits) are available to paid subscribers.

You authorise Moozz, through Stripe, to charge the payment method on file for the recurring subscription fee, any top-up purchases, and any applicable taxes. All amounts are in EUR unless stated otherwise. Pricing may change with at least thirty (30) days' notice; the new pricing takes effect on your next renewal.

6. Refunds

Subscription fees are billed in advance and are non-refundable except where required by applicable law (including the EU consumer right of withdrawal where it applies). Translation credits, once consumed, cannot be refunded — a credit is consumed when you submit a Rights Trail 1 (RT1) and the engine begins processing your track.

7. Your content and your obligations

• You retain ownership of all original recordings, lyrics, and metadata you upload ("Your Content").
• By uploading, you warrant that you have all rights necessary to upload the content and to authorise its translation, including all master-recording rights, publishing rights, and (where applicable) any moral-rights consents required for the creation of a derivative work. See the Rights Trail Terms.
• You must not upload material that infringes any third-party rights, contains malware, or violates any law.
• You are solely responsible for the accuracy and completeness of your ownership declarations.

8. Licence to Moozz

You grant Moozz a worldwide, non-exclusive, royalty-free licence to host, process, transcode, translate, and (where you opt in via the Distribution Terms) distribute Your Content for the sole purpose of providing the platform's services to you. This licence terminates when you delete the relevant content from the platform, except where we are required to retain copies to comply with law or to evidence a previously executed Rights Trail.

9. Moozz's obligations

• We will provide the platform with commercially reasonable efforts.
• We will process payments via Stripe and handle distribution submissions via Revelator.io where you opt in.
• We will store and produce Rights Trail PDFs in accordance with the Rights Trail Terms.
• We do not guarantee uninterrupted service, specific translation quality, or any particular streaming-platform acceptance or revenue outcome.

10. Account termination

You may cancel your subscription at any time from the Settings page; cancellation takes effect at the end of the current billing period. We may suspend or terminate your account, without refund, if you breach these Terms (including by uploading infringing content), misuse the platform, or fail to pay amounts due. Upon termination, your right to use the platform ends, but Rights Trail certificates already executed remain in effect.

11. Disclaimers and limitation of liability

The platform is provided "as is" and "as available". To the maximum extent permitted by law, Moozz disclaims all warranties (express or implied), including warranties of merchantability, fitness for a particular purpose, and non-infringement. Moozz's aggregate liability arising out of or in connection with these Terms shall not exceed the fees paid by you in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Muzico Innovations GmbH, its directors, employees, and affiliates from and against any claims, damages, liabilities, and reasonable legal costs arising out of (a) your breach of these Terms, (b) inaccurate or false declarations in any Rights Trail, or (c) any third-party claim that Your Content infringes intellectual-property or moral rights.

13. Changes to these terms

We may update these Terms from time to time. If a change is material, we will notify you by email or through the platform at least thirty (30) days before it takes effect. Continued use of Moozz after the effective date constitutes acceptance of the updated Terms.

14. Governing law and jurisdiction

These Terms are governed by Swiss law, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Canton of Zurich, Switzerland, except where mandatory consumer-protection rules grant you the right to sue in your country of residence.
