Distribution Terms
These Distribution Terms apply when you opt in, via the distribution consent modal in the Moozz platform, to have a translated track distributed to streaming platforms ("DSPs") on your behalf through Moozz. They form part of the Terms of Service and apply in addition to those terms and to the Rights Trail Terms.
1. What you authorise
By confirming distribution in the consent modal you authorise Moozz to:
- Submit your translated track and its associated metadata to the DSPs you select (Spotify, Apple Music, YouTube Music, Amazon Music) through our distribution-services partner Revelator.io.
- Obtain ISRC and UPC identifiers for the translated track on your behalf.
- Receive royalty statements from the DSPs and pass through your share via Stripe Connect.
- Respond to DSP content-policy requests, takedown notices, and rights disputes in respect of the translated track.
2. Royalty split (85 / 15)
Royalties earned from streams of the translated track are split 85% to you, 15% to Moozz. The Moozz share is the platform's only fee for distributing the translation; it covers Revelator.io fees, Stripe processing, payout-administration costs, and the operating cost of the distribution pipeline.
Royalties earned from your original track are not affected by these terms. Moozz never receives any share of original-track royalties.
3. Your warranties
By confirming distribution, you warrant that:
- You have all necessary rights to distribute the translated work on the selected DSPs, including master-recording rights, publishing rights, and any synchronisation or platform-specific rights required by those DSPs.
- All rights holders identified in RT1 and RT2 — including any contributors — have authorised commercial distribution of the translated work.
- The translated work does not infringe any third-party intellectual-property right and complies with the content policies of the DSPs you select.
4. DSP content policies
The DSPs each have their own content policies, technical specifications, and acceptance criteria. Moozz does not guarantee that any submitted track will be accepted, remain available, or earn any particular level of royalties. A DSP may refuse, delist, or take down a track at any time in accordance with its own policies.
5. Royalty reporting and payout
- Reporting frequency: DSPs report royalties on monthly cadences (typically 30–90 days in arrears). Moozz consolidates and surfaces these on your Distribution dashboard.
- Payout method: Royalties are paid to you via Stripe Connect once per month, subject to a minimum payout threshold of (TBD).
- Currency and conversion: Royalties are reported by DSPs in various currencies and converted to EUR using the rates Moozz receives from its payments provider; the consolidated EUR amount is the basis for payout.
- Disputes: If you believe a royalty figure is incorrect, contact legal@moozz.com within ninety (90) days of the report; we will investigate with the DSP.
6. Takedown and rights disputes
If a third party notifies Moozz of a rights claim against the translated track, or if a DSP issues a content-policy takedown request, Moozz may suspend or remove the track from the DSPs pending resolution. You agree to cooperate with such investigations and to respond promptly to requests for evidence of rights.
7. Liability — Moozz as facilitator
Muzico Innovations GmbH acts solely as a technology platform and distribution facilitator. Moozz does not verify the accuracy of your rights declarations and bears no liability for takedown requests, platform disputes, or copyright claims arising from the distribution of the translated work. You agree to indemnify and hold harmless Muzico Innovations GmbH from and against any such claims, damages, liabilities, and reasonable legal costs.
8. Termination of distribution
You may withdraw a translated track from distribution at any time by emailing legal@moozz.com. Moozz will request that the DSPs remove the track in accordance with their respective takedown policies, but cannot guarantee immediate removal. Royalties already earned at the point of withdrawal will be paid out at the next regular payout cycle.
9. Governing law and jurisdiction
These Distribution Terms are governed by Swiss law. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Canton of Zurich, Switzerland.
