Rights Trail Terms
These Rights Trail Terms apply when you complete a Rights Trail 1 (RT1) ownership declaration or a Rights Trail 2 (RT2) translation approval inside the Moozz platform. They form part of the Terms of Service and apply in addition to those terms.
1. What a Rights Trail is
A Rights Trail is a structured electronic record, generated by the Moozz platform from your declarations and signatures, that documents (a) who holds rights in an original musical work and (b) who has contributed to and authorised its translation. Each Rights Trail produces a PDF certificate that is stored on the platform and available to you for download.
1.1 Rights Trail 1 (RT1) — Ownership Declaration
RT1 is signed before the AI engine begins translating your track. It captures: song identity (title, artist name, original language, release year, ISRC, ISWC, label, catalog reference), master and publishing ownership splits, sole-ownership confirmation where applicable, optional industry codes, and the artist's electronic signature (with an optional separate rights-holder signature).
1.2 Rights Trail 2 (RT2) — Translation Approval
RT2 is signed after the translation has been produced and reviewed. It captures: the AI model version that produced the translation, the translation path (full-AI, artist-edited, or community collaboration), all contributors and their agreed revenue-share percentages, the distribution path you choose (self-distribute or via Moozz), and a cryptographic hash of the source audio for integrity verification.
2. Your warranties when you sign RT1
By signing RT1, you warrant that, in respect of the original recording:
- You are legally authorised to upload, adapt, and translate the recording into other languages.
- All ownership information you have declared is accurate and complete.
- All rights holders — including master-recording owners, publishing owners, and any performers with moral rights — have authorised the translation and its commercial distribution.
- You understand that Moozz will generate a legally binding Rights Trail PDF from your declaration.
- You accept full legal responsibility for the accuracy of your declaration.
3. Moral rights
The Berne Convention recognises moral rights of authors, including the right of integrity (protection against modifications that harm the author's honour or reputation) and the right of attribution. In several jurisdictions — notably France, Germany, and Spain — moral rights are inalienable and cannot be waived even by contract.
By signing RT1 you confirm that, where moral rights cannot be waived, you have obtained the express consent of each holder of those moral rights (including original composers, lyricists, and performing artists) to the creation of a derivative work in the target language and to its commercial distribution.
4. Translation authorisation (derivative works)
A translation produced by Moozz is a derivative work of the original recording. By signing RT2, you grant Moozz and any contributors listed in RT2 the rights necessary to produce, store, and (where you opt in via the Distribution Terms) distribute that derivative work. The original recording is not licensed to Moozz beyond what is necessary to produce the translation.
5. Electronic signature
Your electronic signature on RT1 and RT2 — captured as a typed legal name plus a checkbox confirmation — is intended to constitute a valid signature under Swiss law (Code of Obligations art. 14) and the EU eIDAS Regulation as a "simple electronic signature". By signing, you acknowledge that an electronic signature has the same legal effect as a handwritten signature for the purposes of these Terms.
6. Liability and indemnification
Muzico Innovations GmbH does not independently verify the accuracy of any Rights Trail declaration and bears no liability for disputes arising from false, incomplete, or contested rights claims. You agree to indemnify and hold harmless Muzico Innovations GmbH from and against any claims, damages, liabilities, and reasonable legal costs arising from your declarations in any Rights Trail.
7. Storage and integrity of Rights Trail certificates
Once signed, an RT1 or RT2 certificate is stored as an immutable PDF on the Moozz platform. The platform also stores a cryptographic hash of the source audio referenced in RT2 so that the integrity of the translated work can be verified. Rights Trail certificates are retained for the duration described in the Privacy Policy.
8. Withdrawing or correcting a Rights Trail
If you discover that information in a signed RT1 or RT2 is incorrect, contact legal@moozz.com immediately. Material corrections may require a new Rights Trail to be executed. A previously executed Rights Trail cannot simply be deleted — corrections are recorded as superseding entries so that the audit trail remains intact.
9. Governing law and jurisdiction
These Rights Trail Terms are governed by Swiss law. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Canton of Zurich, Switzerland, except where mandatory consumer- protection rules grant you the right to sue in your country of residence.
