Community Contributor Agreement
These terms apply when you participate in the translation of another artist's track ("the Original Artist") through the Moozz community collaboration feature. They form part of the Terms of Service and apply in addition to those terms.
1. What community collaboration is
The Moozz platform allows an Original Artist to open a translation to community contributors — Moozz members who speak the target language and can help refine lyrics, rhythm, phrasing, and cultural nuance. As a contributor:
- You will be listed in the Rights Trail 2 (RT2) certificate with your contribution type and agreed revenue-share percentage.
- You will be credited as a contributor on the distributed track, where the relevant DSP supports contributor credits.
- You are entitled to the revenue-share percentage agreed at the time of contribution, paid through Moozz on the schedule described below.
2. How you join a translation
Translations open to community collaboration appear in the Community section of the platform. You may express interest in a translation; the Original Artist may accept or decline you. Once accepted, you may submit edits to the lyrics or other refinement suggestions through the platform's collaboration tools.
3. Revenue share
Each accepted contributor is allocated a revenue-share percentage that is agreed in writing on the platform between the Original Artist and the contributor before edits are committed. The revenue-share applies only to royalties earned from the distributed translated track and does not affect the Original Artist's underlying royalties on the original recording.
4. Rights you grant
By contributing edits or other content to a translation, you grant:
- To the Original Artist, an irrevocable, worldwide, royalty-free licence (subject to your agreed revenue share) to incorporate your contribution into the translated work, sign RT2 reflecting your contribution, and distribute the resulting translated work.
- To Moozz, the rights necessary to host, process, and surface your contribution within the platform.
5. AI training data ("HITL")
Edits you submit through the platform (your version of an AI-generated lyric) are recorded as Human-in-the-Loop (HITL) data used to improve the Moozz AI model. By contributing, you consent to the use of your edits as training data, on the basis that:
- The training data is used in aggregate to improve translation quality.
- Personal identifiers are removed from the training data where feasible.
- You may withdraw your future contributions from training-data inclusion at any time by emailing privacy@moozz.com; previously incorporated training data cannot always be retroactively removed because of the nature of model-training pipelines.
6. IP ownership of AI-generated translations
The legal status of AI-generated translated lyrics and audio is not yet settled in many jurisdictions. As between you, the Original Artist, and Moozz, the parties intend that:
- The Original Artist retains all rights in the original recording and lyrics.
- The translated work is treated as a derivative work licensed by the Original Artist (and contributors) to Moozz for the purposes set out in the Distribution Terms.
- Where copyright in the translated work cannot be asserted by any party (because of jurisdictional rules on AI authorship), the parties will rely on contractual rights set out in RT1, RT2, and these terms.
7. Payouts
Revenue-share payouts are issued through Stripe Connect on the same schedule as Original Artist royalty payouts described in the Distribution Terms. To receive payouts you must have a verified Stripe Connect account in good standing. Moozz is not liable for payout delays caused by incomplete or unverified Stripe accounts.
8. Withdrawing as a contributor
Once you have signed a contribution and the Original Artist has signed RT2 incorporating your edits, your contribution is locked into the Rights Trail and cannot be retroactively removed. Continuing royalty entitlements remain in force unless you reach a separate agreement with the Original Artist to vary them. To raise a dispute, contact legal@moozz.com.
9. Liability and indemnification
You warrant that your contributions are your own original work and do not infringe any third-party right. You agree to indemnify and hold harmless Muzico Innovations GmbH and the Original Artist against any claim that your contributions infringe third-party rights.
10. Governing law and jurisdiction
This Agreement is governed by Swiss law. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts of the Canton of Zurich, Switzerland.
